General Terms of Purchase
These General Terms of Purchase define the framework applicable to purchases made by Lilyane Distribution SAS from professional suppliers, wholesalers, brands or distributors.
They may be supplemented or replaced by specific written agreements entered into between the parties.
1. Scope
These General Terms of Purchase apply to B2B relationships in which Lilyane Distribution SAS acts as a professional buyer.
2. Orders
Orders are placed according to terms defined on a case-by-case basis between Lilyane Distribution SAS and the supplier. Any specific written terms prevail over these General Terms of Purchase.
3. Product authenticity, origin and compliance
The supplier warrants that the products delivered are authentic, new unless otherwise agreed in writing, lawfully acquired, free from any right or restriction preventing their resale within the European Union, and compliant with all applicable regulations, including safety, labelling, intellectual property, tax, traceability and distribution requirements.
Upon request, the supplier shall provide any document required to evidence the origin, authenticity, compliance and right to market the products, including invoices, certificates, declarations, authorisations or applicable compliance documents.
4. Distribution authorisations and specialized digital channels
Where the supplier presents itself as an official, authorised or otherwise entitled distributor of the products, it must be able to provide the corresponding supporting documentation.
The supplier warrants that the products, documents, invoices and rights provided allow compliant marketing through the agreed channels, including specialized digital channels or online distribution platforms where such channels are appropriate and authorised.
5. Intellectual property and product content
Images, trademarks, descriptions, logos, technical content and presentation materials provided by partners must be supplied with the rights required for commercial use, including product presentation on authorised distribution channels.
Lilyane Distribution SAS uses such materials only for the marketing of the relevant products and subject to the rights effectively granted.
6. Regulated products and specific obligations
The supplier warrants compliance with all regulations applicable to the relevant product categories, including CE marking, product safety, instructions, languages, packaging, batteries, electrical and electronic equipment, regulated substances or any other applicable sector-specific requirement.
7. Prices, delivery and receipt
Prices, volumes, lead times, any Incoterms, delivery arrangements and payment terms are defined between the parties for each transaction.
Upon receipt, Lilyane Distribution SAS reserves the right to verify product and document compliance. In the event of non-compliance, it may refuse, return or request replacement or reimbursement of the relevant products.
8. Product recall and cooperation
The supplier undertakes to inform Lilyane Distribution SAS without delay of any defect, risk, product recall, marketing restriction, rights-holder complaint or request from an authority that may affect the supplied products.
9. Indemnification
The supplier shall indemnify Lilyane Distribution SAS against any claim, complaint, suspension, product removal, online distribution restriction, rights-holder action, administrative action or third-party claim arising from a breach relating to the supplied products.
10. Confidentiality
Catalogues, commercial terms, prices, supplier documents, volumes, sourcing information and exchanged information are confidential and may not be disclosed to third parties without prior agreement, except where required by law or necessary to perform the commercial relationship.
11. Governing law and disputes
These General Terms of Purchase are governed by French law. In disputes between professionals, the parties shall seek an amicable solution before any legal action. Failing agreement, the competent courts shall be those within the jurisdiction of Lilyane Distribution SAS’s registered office, unless mandatory rules provide otherwise.
